Welcome to Peerteach , a marketplace operated by Hermes Unlimited (“Peerteach,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of the Peerteach platform, including its website and services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

1. Overview of Services

Peerteach provides a digital marketplace that connects parents or guardians (“Parents”) seeking tutoring services for their children with independent tutors (“Tutors”). Tutors on the Platform are not employees or agents of Peerteach but are independent contractors who offer their services directly to Parents. Peerteach facilitates the connection but does not provide tutoring services itself.

Services may be provided:

• Online (via virtual platforms)
• At libraries
• At the Parent’s residence

Tutors must be at least 16 years old to register on the Platform.

2. User Responsibilities

2.1 Parents

• You are responsible for ensuring the safety and supervision of your child during tutoring sessions.
• You must provide accurate information about your child’s needs, learning goals, and any relevant health or safety concerns to the Tutor.
• You agree to comply with all applicable laws and regulations when using the Platform.

2.2 Tutors

• You represent and warrant that you are at least 16 years old and legally permitted to work in Canada.
• You are solely responsible for the quality, accuracy, and delivery of your tutoring services.
• You must conduct yourself professionally and adhere to all applicable laws, including those related to child safety and privacy.
• You agree to maintain appropriate insurance coverage, if required, for your tutoring activities.

3. Limitation of Liability

3.1 No Liability for Third-Party Actions

Peerteach acts as a neutral intermediary and does not control, endorse, or guarantee the actions, behavior, or performance of Tutors or Parents. We are not liable for any disputes, claims, losses, injuries, or damages arising from:

• The conduct or negligence of Tutors or Parents;
• Any interactions or agreements made outside of the Platform;
• The suitability, safety, or effectiveness of tutoring services provided by Tutors.

3.2 Disclaimer of Warranties

The Platform is provided “as-is” and “as-available.” Peerteach makes no warranties, express or implied, regarding:

• The accuracy, reliability, or completeness of information provided by Tutors or Parents;
• The quality or results of tutoring services;
• The safety of tutoring locations, including libraries or private residences.

3.3 Indemnification

You agree to indemnify, defend, and hold harmless Peerteach, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

• Your use of the Platform;
• Your breach of these Terms;
• Your violation of any laws or third-party rights.

4. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

5. Dispute Resolution

Before pursuing legal action, you agree to attempt to resolve any disputes through good-faith negotiations. If a resolution cannot be reached, any legal proceedings must be initiated in the courts of Ontario.

6. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on the Platform are the property of Peerteach or its licensors. You may not use, reproduce, or distribute such content without prior written consent.

7. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy , which outlines how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

8. Termination

Peerteach reserves the right to suspend or terminate your access to the Platform at any time, without notice, for any reason, including but not limited to:

• Violation of these Terms;
• Inappropriate or unsafe behavior;
• False or misleading information provided during registration.

9. Amendments to Terms

Peerteach may update these Terms from time to time. We will notify you of any material changes via email or through the Platform. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
